TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern the use of this website and any services provided by Cyctronic IT (Pty) Ltd ("the Company", "we", "us", or "our"). By accessing or using this website, requesting services, accepting quotations, or making payment, you agree to be bound by these Terms and Conditions.

2. ACCEPTANCE OF TERMS

By using this website, requesting quotations, purchasing products, engaging services, or making payment to the Company, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

3. QUOTATIONS

3.1 All quotations are valid for a period of fourteen (14) calendar days from the date of issue unless otherwise stated.

3.2 Quotations are subject to product availability and supplier pricing at the time of acceptance.

3.3 Acceptance of a quotation constitutes a legally binding agreement between the Client and the Company.

3.4 The Company reserves the right to withdraw or amend any quotation before acceptance.

4. PAYMENT TERMS

4.1 Products and Equipment

  • A full deposit/50% may be required before equipment, software, licences, or products are ordered.
  • The balance is payable prior to delivery, installation, or commissioning unless otherwise agreed in writing.

4.2 Services and Labour

  • Labour and service fees are payable according to the quotation, service agreement, or invoice.
  • Ongoing managed services are invoiced monthly in advance.

4.3 Monthly Service Agreements

  • Monthly services are billed in advance for the upcoming service period.
  • Payment is due on or before the due date reflected on the invoice.

5. LATE PAYMENT

5.1 Failure to pay an invoice by its due date shall place the account in arrears.

5.2 The Company reserves the right to charge interest on overdue accounts at the maximum rate permitted by South African law.

5.3 A late payment administration fee of R3,500.00 may be charged for accounts that remain unpaid beyond seven (7) calendar days after the due date, subject to applicable legislation.

5.4 The Client shall be liable for all legal, collection, tracing, and recovery costs incurred in recovering outstanding amounts.

6. SUSPENSION OF SERVICES

6.1 Should an account remain unpaid for more than thirty (30) calendar days, the Company may issue a written notice demanding payment.

6.2 If payment is not received within the notice period, the Company reserves the right to suspend any or all services.

6.3 Should an account remain unpaid for three (3) consecutive months, the Company may suspend:

  • Managed IT Services
  • Remote Support
  • Network Management
  • CCTV Monitoring
  • Cloud Services
  • Hosting Services
  • Backup Services
  • Microsoft 365 Administration
  • Website Management Services
  • Any other contracted services

6.4 The Company shall provide at least fourteen (14) calendar days written notice before suspension of services.

6.5 Service suspension due to non-payment shall not constitute a breach of contract by the Company.

6.6 Services will only be restored once all outstanding amounts, penalties, and reinstatement fees have been settled in full.

7. WEBSITE SERVICES

7.1 The Company provides website design, hosting, maintenance, development, and related services.

7.2 Unless otherwise agreed in writing, ownership of source files, graphics, software, and development materials remains the property of the Company until all invoices have been paid in full.

7.3 Hosting, domains, SSL certificates, email services, and third-party subscriptions remain subject to the terms of the relevant providers.

8. WEBSITE CONTENT

8.1 Clients are responsible for ensuring that all content supplied is accurate, lawful, and does not infringe any third-party rights.

8.2 The Company reserves the right to refuse content that is unlawful, defamatory, offensive, misleading, or infringes intellectual property rights.

9. INTELLECTUAL PROPERTY

9.1 All content, logos, graphics, designs, software, and materials displayed on this website remain the property of their respective owners.

9.2 No content may be copied, reproduced, distributed, or used without prior written consent.

10. LIMITATION OF LIABILITY

10.1 The Company shall not be liable for indirect, consequential, incidental, or special damages.

10.2 The Company shall not be responsible for losses resulting from:

  • Internet outages
  • Power failures
  • Cyberattacks
  • Third-party service interruptions
  • Acts of God
  • Client negligence
  • Unauthorised modifications by third parties

10.3 The Company's total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

11. WARRANTIES

11.1 The Company provides services with reasonable skill and care.

11.2 No guarantee is provided that the website, systems, or services will operate uninterrupted or error-free at all times.

12. PRIVACY AND POPIA

12.1 The Company processes personal information in accordance with the Protection of Personal Information Act, 2013 ("POPIA").

12.2 Personal information collected through this website will only be used for legitimate business purposes.

12.3 By using this website, you consent to the collection and processing of your information as required to provide services.

13. TERMINATION

13.1 The Company may terminate services immediately where:

  • The Client breaches these Terms;
  • Fraudulent activity is suspected;
  • The Client fails to make payment;
  • The Client engages in unlawful activities.

13.2 Outstanding fees remain payable notwithstanding termination.

14. GOVERNING LAW

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

15. CHANGES TO TERMS

The Company reserves the right to amend these Terms and Conditions at any time without prior notice. Updated Terms will be published on this website and shall become effective upon publication.
